Unless the Buyer has issued a prior written notification to, and received relevant approval from the relevant selling Navico Entity (including notably, Navico Inc, Navico Logistics Europe B.V., Navico Group EMEA, B.V., Navico Group Americas, LLC, Navico (Suzhou) Trading Co. Limited and Navico Australia Pty Ltd., hereinafter collectively referred to as “Navico”) Navico understands, and the Buyer represents, to the extent required by all applicable laws, that the products (including the technology and/or software related thereto) sold or resold will not be:

• Used in connection with any nuclear devices, rocket systems, unmanned (aerial) vehicles, chemical or biological weapons, or other applications that are restricted by law, including use in any facilities or vessels engaged in activities relating to such applications.
• Exported or re-exported, unless export laws and the item’s export control classification permits re-export to the intended party/country, which is NOT a restricted party or a country under embargo (including notably Belarus, Cuba, North Korea, Syria, Iran, Russia, and the sanctioned regions of Ukraine, including but not limited to, the Donetsk People’s Republic, Luhansk People’s Republic and the Crimea Region of Ukraine, as well as any other country or region that may be sanctioned by the USA, EU, United Kingdom or other regimes).
• Sold directly or indirectly to any military end user or uses.

“military end-users” as defined below:

• The national armed service (i.e. army, navy, marines, air force, coast guard, national guard, or national police).
• A government intelligence or reconnaissance organization; or
• Any entity whose actions or functions are intended to support or contribute to the operation, installation, maintenance, repair, overhaul, refurbishing, development, or production of a military item.

“military end-uses” including:

• Incorporation into a military item; or
• Incorporation into any other item that supports or contributes to the operation, installation, maintenance, repair, overhaul, refurbishing, development, or production of a military item.

NOTIFICATION REQUIREMENT

If Buyer becomes aware that any of the above has, had, will or is likely to occur, the Buyer agrees to immediately notify Navico’s Export Compliance Department via email at [email protected].
